| In
March 2000, we entered into a contract
to acquire Case Management for Medical Oncology
with Laboratory and Outcomes Tracking ("Cammolot"),
a medical oncology software program, from
its creator David Baer, M.D., a practicing
medical oncology physician in Oakland, CA.
The contract grants us an exclusive worldwide
license in Cammolot, subject to licenses previously
granted by Dr. Baer, and an exclusive
option to purchase the software. Cammolot
is a Windows-based application, which provides
a wide range of functionality for a variety
of users, including physicians, nurses, pharmacists,
administrators and clinical trials data managers.

We
believe each of the key users of the Cammolot
system experience significant benefits from the
electronic record. Physicians can obtain a flow sheet
which provides quick and efficient access to patient
information, have the ability to input orders more efficiently
with the built-in menu selection, can create custom
regimen templates, and can reduce the probability of
drug dosing errors with the automatic linkage with the
laboratory. The nursing

staff can obtain lab results more efficiently compared
to fax and EDI, can efficiently provide the patient with
detail information of dosage per day for a complex regimen
and can transfer information to the pharmacists accurately
and efficiently for daily treatments. In addition, the
pharmacy staff can obtain an electronic record for all
drugs required for specific day, obtains an electronic
record of drugs by patient and can efficiently create
labels and other documentation for the drug therapies. |

| The
software has six modules: |

Patient
information - includes height, weight, body
surface area, age, sex and patient diagnosis.
Flow
sheet - a tabular listing of serial drug administrations
by regimen and cycle with associated lab test
results and imaging results.
Patient
orders - entered by the physician defining
the number of cycles, the length of each cycle
in days, drug doses and lab tests.

Treatment
plan - generated from the set of orders
created by the physician.
Notes
- Free text notes for physicians, nurses
and any other matters of documentation in the
care of the patient.
Outcomes
- includes information on toxicity, quality
of life survey (FACT-G), tumor response, date
of death and drug intolerances.
